General Conditions

Services

Services offered include Discovery (a two-week engagement, fixed price), Embed (a monthly retainer for fractional architecture services), Escalation (on-demand support for Embed clients), and fixed-price assessments and scans (such as the .NET Project Health Check, the AI Automation Quick Scan, and the Business Process Efficiency Scan). Each specific engagement is formalised in a written agreement separately from these general conditions.

Fixed-price assessments and scans

For fixed-price assessments and scans, the following applies:

• The scope is limited to the agreed offer as described on the applicable offer page.
• The delivery period starts after the discovery session has taken place and the agreed information and access have been received.
• Additional work falls outside the fixed price and requires a separate agreement.
• Implementation is not included unless explicitly stated in writing.
• Assessment fees are invoiced before work begins.
• Refund guarantees apply only under the conditions stated on the applicable offer page.

Engagement and payment

Engagements begin when a written agreement has been signed by both parties. Invoices are issued according to the terms of that agreement. Standard payment term is 14 days net. Late payments may incur statutory interest as provided for under Dutch law.

Deliverables and intellectual property

Unless otherwise agreed in writing, deliverables produced during an engagement are transferred to the client upon full payment. General knowledge, methods, and non-confidential techniques remain available for use in other engagements. Confidential information shared by the client is treated as confidential and not disclosed.

Liability

Liability is limited to the amount invoiced for the specific engagement in which the damage occurred. Indirect, consequential, or loss-of-profit damages are excluded to the extent permitted by law.

Cancellation

Discovery engagements, once started, are non-refundable but may be paused by mutual agreement. Embed engagements may be terminated after the initial three-month minimum with 30 days written notice.

Applicable law

These conditions are governed by Dutch law. Disputes will be brought before the competent court in Utrecht.
